👑 👑 COOPERATION AGREEMENT (REGIONAL MANAGER)

PARTIES TO THE AGREEMENT

Concluded between:

Werbekoordinator Foundation, based in Katowice, KRS: 0001135818, EU VAT: PL9542878519, represented by President Dariusz Piwowarczyk, hereinafter "Werbekoordinator",

a

[Company Name / Partner Name], residing/based in: [City], ul. [Street/No.], hereinafter "Manager" or "RM".

Werbekoordinator and Manager are collectively referred to as "Parties".

PREAMBLE

The Parties enter into this Agreement to build an international service distribution network.

§ 1. ORGANIZATIONAL CULTURE AND MANAGER ROLE

The role is based on modern leadership and cross-functional team support.

Key recommended actions for the Manager:

• Promoting teamwork culture per Werbekoordinator system standards.
• Actively supporting and training Ad Coordinators and Promoters network-wide.
• Acting strictly per the Code of Ethics.
• Organizing recruitment meetings and candidate selection.
• Jointly setting promotional goals and analyzing progress via CRM.

These actions are recommendations. Passive behavior carries no contractual penalties.

Rentier Status:

Upon obtaining Rentier status, the Manager is exempt from operational tasks.

§ 2. LIFETIME LICENSE GRANT

Upon status grant, the Manager receives a perpetual, lifetime system license.

The license includes use of IT systems, CRM tools, and cashback mechanisms across Europe.

RM status is permanent and requires no renewal fees.

§ 3. COMPENSATION AND SETTLEMENTS

The Manager receives 50% commission on own Service Package sales plus network differential balance.

Payouts occur at least monthly within 3 days of valid VAT invoice submission.

Rentier status guarantees perpetual compensation rights.

Contest bonuses are credited automatically in the Virtual Office.

The Foundation may fund local marketing activities upon application.

§ 4. DURATION AND SECURITY CONDITIONS

The agreement is concluded for an indefinite period upon electronic acceptance.

Termination by Manager (RM):

The Manager may terminate electronically with notice:

• 1 month in Year 1;
• 2 months in Year 2;
• 3 months in Year 3 and beyond.

Termination by Werbekoordinator:

Termination with 3-month notice only allowed upon persistent complaints from network regarding refusal of help.

Cure Procedure ("Yellow Card"):

Notice must be preceded by a warning. If behavior improves, notice can be withdrawn.

Immediate Termination:

In cases of proven intentional damage to Foundation or Code of Ethics breach.

Network Position Guarantee ("Soft Landing"):

Termination does not remove participant from network; Ad Coordinator status remains intact.

Return Path:

Re-application for RM status allowed after 12 months.

§ 5. FORMALITIES AND ELECTRONIC EXECUTION

All notices and amendments are handled exclusively electronically.

This agreement is executed in documentary form, per Polish Civil Code art. 77² and EU eIDAS regulation.

Governed by Polish law. Jurisdiction lies with Katowice courts.
