🤝 PARTNER AGREEMENT

§ 1. Parties to the Agreement

1. This agreement is concluded between:

• a) Werbekoordinator Foundation, registered address: ul. Staromiejska 6/10D, 40-013 Katowice, KRS: 0001135818, EU VAT: PL9542878519, REGON: 540046202, hereinafter "Foundation" or "Contractor",
• b) The Entrepreneur whose details are provided in the Registration Form forming an integral part of this Agreement, hereinafter "Partner" or "Client".

2. The Foundation and Partner are collectively referred to as "Parties".

§ 2. Subject of Agreement

1. The subject of this agreement is promotional and marketing cooperation conducted by the Foundation for the Partner.

2. Cooperation is carried out via the Foundation portal https://werbekoordinator.pl and associated IT systems.

3. Concluded to achieve statutory goals, supporting small and medium-sized enterprises.

§ 3. Rules of Cooperation

1. Under this agreement, the Foundation shall:

• a) provide marketing tools including banners, QR codes, and virtual office,
• b) enable participation in the success fee commission calculation system,
• c) verify and moderate the Partner application prior to account activation.

2. The Partner agrees to:

• a) provide accurate registration data,
• b) conduct business in compliance with laws and ethical standards,
• c) enable customer purchases using the QR system,
• d) display venue promotional branding per Foundation guidelines.

3. The Partner selects a business category. The Foundation reserves the right to reject restricted industries.

§ 4. Duration and Conclusion

1. Concluded for 12 months with automatic annual renewal unless terminated with 30 days notice.

2. Concluded electronically by checking the acceptance box during registration.

§ 5. Foundation Services for Partner

1. The Foundation provides ongoing promotional services including:

• a) Partner presentation on werbekoordinator.pl via business card and banner,
• b) promotion across the network of Promoters, Ad Coordinators (KR), and Regional Managers (MR),
• c) active support in expanding the consumer base,
• d) assistance in building Coordinator and Manager structures around Partner activities.

3. The Foundation provides support in:

• a) developing local referral networks using QR fractal systems,
• b) implementing POS marketing materials (stickers, signs),
• c) conducting educational campaigns for Promoters,
• d) providing IT reporting tools for turnover tracking.

7. Free access to the Partner virtual office containing:

• commission and transaction statistics,
• promotion and discount management,
• access to invoices, regulations, and account data.

8. Actions are taken in good faith and with due diligence.

9. The Foundation provides ongoing promotional support based on success fee principles.

§ 6. Commissions and Settlements

1. Partner establishes a fixed Success Fee commission (min 2%) for QR identified transactions.

2. Commissions are charged only on actual purchases by registered Promoters.

3. Partner may set promotional discounts to boost sales.

4. Partner agrees to allow QR system sales identification.

5. In case of returns, commissions and cashback are storno adjusted.

6. Additional promotional services are billed via pro forma invoices.

7. Partner consents to electronic invoicing.

§ 7. Information Obligations and POS Branding

1. Partner guarantees published business card content complies with applicable laws.

2. The Foundation reserves moderation rights over submitted content.

3. Partner agrees to place provided QR stickers at:

• entrance doors,
• checkout areas.

4. Partner shall not surcharge card payments processed via the system.

5. Partner grants logo and name usage rights for marketing purposes.

§ 8. Promotion Structure Development

1. The Foundation actively promotes the Partner by:

• supporting Promoter (PR) network building,
• activating Ad Coordinators (KR) and Regional Managers (MR),
• reaching consumer communities with Partner offers.

2. Under statutory goals, the Foundation:

• supports acquiring new Promoters and KR/MR,
• drives sales via cashback promotional campaigns,
• enables independent fractal structure growth via QR codes.

3. Partner gets access to real-time analytics:

• promoter activity commission amounts,
• QR usage reports,
• transaction history.

4. The Foundation provides:

• recruitment and promotional support,
• educational tools and mailing campaigns,
• co-organization of promotional events.

5. Partner network grows autonomously according to fractal referral rules.

§ 9. Confidentiality

1. Parties agree to keep non-public business information confidential.

2. Confidential information includes technical, commercial, and network data.

3. Information shall not be disclosed to third parties without consent.

4. Applies to employees and external partners.

5. Confidentiality obligations exclude information that:

• is publicly available,
• is required by law to be disclosed.

6. Obligation remains effective for 3 years post-termination.

§ 10. Data Protection (GDPR)

1. Both Parties are independent Data Controllers under EU GDPR.

2. Data is processed solely for contract execution and administrative purposes.

3. Partner confirms lawful collection of provided personal data.

4. Appropriate technical security measures are applied per Art. 32 GDPR.

5. No data transfers outside the EEA occur.

6. Data breaches are reported immediately.

7. Parties cooperate in fulfilling data subject rights.

§ 11. Returns and Control Procedures

1. Product returns must be reported within 3 business days.

2. Commissions and cashback accrued on returned goods are adjusted.

3. Consumers shall not incur return penalties per Directive 2011/83/EU.

4. In cases of system abuse, the Foundation may:

• suspend commission and cashback payouts,
• block virtual office access,
• suspend QR codes for 24 months,
• cancel additional agreements,
• notify relevant Partners of suspension.

5. Partner is not liable for unprovoked third-party misconduct.

6. Re-entry permitted after 24 months upon verification.

7. Random audits are performed to eliminate fraud.

§ 12. Termination

1. Either Party may terminate with 30 days written notice.

2. Immediate termination by Foundation is permitted for:

• a) unpaid commission dues,
• b) intentional QR tracking avoidance,
• c) repeated conduct complaints,
• d) engaging in prohibited business categories,
• e) cashback system fraud.

3. Upon termination:

• a) Partner shall remove all Foundation stickers and banners,
• b) Foundation may notify the promoter network.

4. Partner shall cease using all Foundation materials and codes.

5. The Foundation reserves damage claims for fraud.

§ 13. Final Provisions

1. Amendments require documentary form.

2. Governed by Polish Law and EU Regulations.

3. May be executed electronically in the Virtual Office.

4. Partner consents to electronic archiving and invoicing.

5. Severability clause applies.

6. Disputes resolved by court competent for Foundation seat.

7. Executed in electronic dual-language format.
