📄 SERVICE PACKAGE PURCHASE AGREEMENT

§ 1. SUBJECT OF THE AGREEMENT

The subject of this agreement is to define the rights and obligations of the parties regarding the provision of internal services of the Werbekoordinator Foundation and partner services within the Service Package.

§ 2. OBLIGATIONS OF THE SERVICE PROVIDER

1. The Provider commits to organizing advertising activities using IT tools and selected print/media subcontractors.

2. Subcontractors involved hold Partner status within the Provider system.

3. Cashback can be earned as a Promoter ("WERBLIK" internal currency).

§ 3. PAYMENTS

4. All payments shall be made based on a pro-forma invoice exclusively to the account:

A VAT invoice will be issued and emailed upon payment confirmation.

5. The payment date is considered the date the full amount credits the Provider account.

6. Late payment incurs statutory interest and potential suspension of services or legal recovery.

§ 4. SERVICE RECIPIENTS

Services are dedicated exclusively to Companies or Ad Coordinator Candidates who are parties to this agreement.

§ 5. PROMOTIONAL MATERIALS & ADVERTISING SERVICES

1. The Provider commits to delivering the agreed volume of promotional materials.

2. Activation of online advertising services occurs within 5 business days of purchase.

3. Materials are produced by certified subcontractors at optimal market rates.

4. Active promotion across the Ad Coordinator network during the care period.

§ 6. PROVIDER DECLARATIONS

The Service Provider declares that:

1. It possesses full IT infrastructure and expertise to execute all contracted marketing channels.

2. Subcontractors operate under high industry standards and civil liability coverage.

3. Full data protection measures comply with GDPR (EU 2016/679).

§ 7. DIGITAL AND DOMAIN SERVICES

1. Purchasing reserved domain names and hosting setup on the Provider server.

2. Provision of secure hosting fulfilling package requirements.

3. Graphic designs (1:1 format, vector graphics) and social media publishing.

4. Setup of Google Business profiles on the Client Gmail account.

5. Video content captions limited to 1,800 characters.

6. Service execution within 7 days following order form submission.

§ 8. TRADE SECRETS

The Provider commits to strict confidentiality regarding all Client data:

1. Confidential information includes all project-related disclosures.

2. No third-party disclosures without prior written consent.

3. Protecting confidential information with equal care to internal data.

4. Confidentiality obligations extend to employees and partners.

5. Disclosure restricted strictly to essential personnel.

6. Prohibition of unauthorized copying or dissemination.

§ 9. DURATION OF AGREEMENT

1. Concluded for 12 calendar months from registration acceptance.

2. Package benefits apply per package terms and roll over with renewals.

3. Automatic 12-month extension unless terminated 30 days prior.

4. Immediate termination by Provider applies in case of:

• a) Contract breach or non-payment,
• b) Unauthorized material duplication.

5. Early termination by Client incurs a €500 contractual penalty.

§ 10. ADDITIONAL ORDERS

1. Primary material order delivery within 7 business days.

2. Additional material requests handled via bonus points or direct payment.

3. Unused service quotas remain valid throughout the 12-month tenure.

§ 11. FINAL PROVISIONS

1. Amendments require written form under pain of nullity.

2. Governed by Werbekoordinator Terms of Service and Polish Civil Code.

3. Subject to Polish law. Court jurisdiction at Provider seat.

4. The Client confirms reading and accepting all clauses.
